Taxation and Tax PlanningThe attorneys at McEwen Gisvold represent individuals and businesses in tax controversy matters against the Internal Revenue Service and the Oregon Department of Revenue, including with respect to income, employment and excise taxes. We assist clients in selecting the appropriate ownership structure for their businesses and advise clients on how to minimize their tax liability. The firm also prepares contracts, such as buy-sell and employment agreements, which have a significant effect on tax consequences. Our taxation and business tax planning work also includes: Drafting comprehensive shareholder agreements to provide for the buy-out of one or more shareholders, taking into account the tax consequences of such buy-outs. Formation of nonprofit and tax-exempt organizations and charitable institutions, including helping such organizations obtain and maintain tax-exempt status under federal and state law, and representation of such exempt organizations with respect to tax assessments of unrelated business taxable income, revocation of exempt status proceedings, review of private foundation status, and asserted prohibited transactions. |
